Service Agreement

Boardwalk Web Solutions Service Agreement

This Service Agreement ("Agreement") is entered into between Boardwalk Web Solutions ("Company") and the Client.

1. Services

Boardwalk Web Solutions agrees to provide website-related services which may include:

Website design

Website hosting

Website maintenance

Technical support

Lead tracking

Google Reviews integration

Website updates

Other services included in the Client's selected plan

Services are provided on a subscription basis and remain active while the subscription remains in good standing.

2. Monthly Subscription

The Client agrees to pay the monthly subscription fee of $197 per month unless otherwise agreed in writing.

Payments are billed automatically on a recurring basis.

3. No Long-Term Contract

The service operates on a month-to-month basis.

Either party may terminate the agreement at any time subject to the cancellation provisions below.

4. Cancellation

The Client may cancel at any time by providing written notice.

Cancellation becomes effective at the end of the current billing cycle.

No refunds will be provided for partial billing periods.

5. Ownership of Website

The website, design framework, templates, software configurations, automations, hosting environment, and proprietary systems created by Boardwalk Web Solutions remain the property of Boardwalk Web Solutions unless otherwise agreed in writing.

The Client retains ownership of:

Business name

Logo

Images provided by Client

Written content provided by Client

Other intellectual property supplied by Client

6. Website Access After Cancellation

Upon cancellation:

Hosting services terminate.

Website access may be removed.

Forms, automations, calendars, and related systems may cease functioning.

If the Client wishes to purchase a copy of the website assets for transfer to another provider, separate arrangements may be negotiated.

7. Domain Names

If the Client owns the domain name, ownership remains with the Client.

If Boardwalk Web Solutions purchases or registers a domain on behalf of the Client, ownership may be transferred upon request once any outstanding balances are paid.

8. Client Responsibilities

The Client agrees to:

Provide accurate information.

Maintain rights to all submitted content.

Respond to requests needed to complete website updates.

Avoid using the website for unlawful purposes.

The Client is responsible for ensuring all content complies with applicable laws.

9. Service Availability

Boardwalk Web Solutions will use commercially reasonable efforts to maintain service availability.

However, uninterrupted service cannot be guaranteed.

The Company is not responsible for outages caused by:

Hosting providers

Domain registrars

Third-party software providers

Internet service disruptions

Force majeure events

10. Late Payments

If payment fails:

Service may be suspended.

Website functionality may be limited.

Hosting may be disabled after reasonable notice.

Service may be restored upon payment of outstanding balances.

11. Limitation of Liability

To the fullest extent permitted by law, Boardwalk Web Solutions shall not be liable for indirect, incidental, consequential, special, or punitive damages.

The Company's total liability shall not exceed the amount paid by the Client during the previous twelve months.

12. Indemnification

The Client agrees to indemnify and hold harmless Boardwalk Web Solutions from claims arising from:

Client-provided content

Copyright infringement by Client materials

Violations of law committed through Client websites

13. Modifications

Boardwalk Web Solutions may update this Agreement from time to time.

Updated versions will be posted on the Company's website.

14. Governing Law

This Agreement shall be governed by the laws of West Virginia.
